  1. CREATIVE MULTIMEDIA SOFTWARE LICENSE
  2. PLEASE READ THIS LICENSE CAREFULLY BEFORE USING 
  3. THE SOFTWARE.  BY USING THE SOFTWARE, YOU ARE 
  4. AGREEING TO BE BOUND BY THE TERMS OF THIS 
  5. LICENSE.  IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  6. LICENSE, PROMPTLY RETURN THE UNUSED SOFTWARE 
  7. TO THE PLACE WHERE YOU OBTAINED IT AND YOUR 
  8. MONEY WILL BE RETURNED.

  10. 1. License.  The application, demonstration, system and other 
  11. software accompanying this License, whether on disk, in read only 
  12. memory, or on any other media (the "Software") and related 
  13. documentation are licensed to you by Creative Multimedia.  You own 
  14. the disk on which the Software is recorded but Creative Multimedia 
  15. and/or Creative Multimedia's Licensers retain title to the Software 
  16. and related documentation.  This License allows you to use the 
  17. Software on a single computer.  You may also transfer all your 
  18. license rights in the Software, the backup copy of the Software, the 
  19. related documentation and a copy of this License to another party, 
  20. provided the other party reads and agrees to accept the terms and 
  21. conditions of this License.

  23. 2.  Restrictions.  The Software contains copyrighted material, trade 
  24. secrets and other proprietary material and in order to protect them 
  25. you may not decompile, reverse engineer, disassemble or otherwise 
  26. reduce the Software to a human-perceivable form.  You may not 
  27. modify, network, rent, lease, loan, distribute or create derivative 
  28. works based upon the Software in whole or in part.  You may not 
  29. electronically transmit the Software from one computer to another 
  30. or over a network.

  32. 3.  Termination.  This License is effective until terminated.  You may 
  33. terminate this License at any time by destroying the Software and 
  34. related documentation and all copies thereof.  This license will 
  35. terminate immediately without notice from Creative Multimedia if 
  36. you fail to comply with the provision of this License.  Upon 
  37. termination you must destroy the Software and related 
  38. documentation and all copies thereof.

  40. 4.  Export Law Assurances.  You agree and certify that neither the 
  41. Software, nor any other technical data received from Creative 
  42. Multimedia, nor the direct product thereof, will be exported outside 
  43. the United States except as authorized and as permitted by the laws 
  44. and regulations of the United States.
  45.  
  46. 5.  Government End Users.  If you are acquiring the Software on 
  47. behalf of any unit or agency of the United States Government, the 
  48. following provisions apply.  The Government agrees: (I) if the 
  49. Software is supplied to the Department of Defense (DoD), the 
  50. Software is classified as "Commercial Computer Software" and the 
  51. Government is acquiring only "restricted rights" in the Software and 
  52. its documentation as that term is defined in Clause 252.237-
  53. 7013(c)(I) of the DFARS; and (II) if the Software is supplied to any 
  54. unit or agency of the United Sates Government other than DoD, the 
  55. Government's rights in the Software and its documentation will be 
  56. as defined in Clause 52.227-19(c)(2) of the FAR or, in the case of 
  57. NASA, in Clause 18-52.227-86(d) of the NASA Supplement to the 
  58. FAR.

  60. 6. Limited Warranty on Media.  Creative Multimedia warrants the 
  61. disks on which the Software is recorded to be free from defects in 
  62. materials and workmanship under normal use for a period of ninety 
  63. (90) days from the date of purchase as evidenced by a copy of the 
  64. receipt.  Creative Multimedia will have no responsibility to replace a 
  65. disk damaged by accident, abuse or misrepresentation.  ANY 
  66. IMPLIED WARRANTIES ON THE DISCS, INCLUDING THE IMPLIED 
  67. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  68. PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO NINETY (90) 
  69. DAYS FROM THE DATE OF DELIVERY.  THIS WARRANTY GIVES YOU 
  70. SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS 
  71. WHICH VARY FROM JURISDICTION TO JURISDICTION.

  73. 7.  Disclaimer of Warranty on Software.  You expressly acknowledge 
  74. and agree that use of the Software is at your sole risk.  The 
  75. Software and related documentation are provided "AS IS" and 
  76. without warranty of any kind and Creative Multimedia and Creative 
  77. Multimedia's Licenser(s) (for the purposes of provisions 7 and 8, 
  78. Creative Multimedia and Creative Multimedia's Licenser(s) shall be 
  79. collectively referred to as "Creative Multimedia") EXPRESSLY 
  80. DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT 
  81. NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY 
  82. AND FITNESS FOR A PARTICULAR PURPOSE.  CREATIVE MULTIMEDIA 
  83. DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE 
  84. SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE 
  85. OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-
  86. FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.  
  87. FURTHERMORE, CREATIVE MULTIMEDIA DOES NOT WARRANT OR 
  88. MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS 
  89. OF THE USE OF THE SOFTWARE OR RELATED DOCUMENTATION IN 
  90. TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY OR 
  91. OTHERWISE.  NO ORAL OR WRITTEN INFORMATION OR ADVICE 
  92. GIVEN BY CREATIVE MULTIMEDIA OR A CREATIVE MULTIMEDIA 
  93. AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN 
  94. ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.  SHOULD THE 
  95. SOFTWARE BE DEFECTIVE, YOU (AND NOT CREATIVE MULTIMEDIA OR 
  96. A CREATIVE MULTIMEDIA AUTHORIZED REPRESENTATIVE) ASSUME 
  97. THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR 
  98. CORRECTION.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION 
  99. OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT 
  100. APPLY TO YOU.

  102. 8.  Limitations of Liability.  UNDER NO CIRCUMSTANCES INCLUDING 
  103. NEGLIGENCE, SHALL CREATIVE MULTIMEDIA BE LIABLE FOR ANY 
  104. INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES 
  105. THAT RESULT FROM THE USE OR INABILITY TO USE THE 
  106. SOFTWARE OR RELATED DOCUMENTATION, EVEN IF 
  107. CREATIVE MULTIMEDIA OR A CREATIVE MULTIMEDIA 
  108. AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF 
  109. THE POSSIBILITY OF SUCH DAMAGES.  SOME JURISDICTIONS DO NOT 
  110. ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR 
  111. INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE 
  112. LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU..
  113. In no event shall Creative Multimedia's total liability to you for all 
  114. damages, losses and causes of action (whether in contract, tort 
  115. (including negligence or otherwise)) exceed the amount paid by you 
  116. for the Software.

  118. 9. Controlling Law and Severability.  This License shall be governed 
  119. by and construed in accordance with the laws of the United States 
  120. and the State of Oregon as applied to agreements entered into and to 
  121. be performed entirely within Oregon and between Oregon residents.  
  122. If for any reason a court of competent jurisdiction finds any 
  123. provision of this License, or portion thereof, to be unenforceable, 
  124. that provision of the License shall be enforced to the maximum 
  125. extent permissible so as to effect the intent of the parties and the 
  126. remainder of this License shall continue in full force and effect.

  128. 10.  Complete Agreement.  This License constitutes the entire 
  129. agreement between the parties with respect to the use of the 
  130. Software and related documentation, and supersedes all prior or 
  131. contemporaneous understandings or agreements, written or oral, 
  132. regarding such subject matter.  No amendment to or modification of 
  133. this License will be binding unless in writing and signed by a duly 
  134. authorized representative of Creative Multimedia.

  136. Warranty Disclaimer:
  137. CREATIVE MULTIMEDIA'S LICENSER(S) MAKES NO WARRANTIES, 
  138. EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE 
  139. PARTICULAR PURPOSE, REGARDING THE SOFTWARE.  CREATIVE 
  140. MULTIMEDIA'S LICENSER(S) DOES NOT WARRANT, GUARANTEE OR 
  141. MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS 
  142. OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS OR 
  143. OTHERWISE.  THE ENTIRE RISK AS TO THE RESULTS AND 
  144. PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU.  THE 
  145. EXCLUSION OF IMPLIED WARRANTIES IS NOT PERMITTED BY SOME 
  146. JURISDICTIONS.  THE ABOVE EXCLUSION MAY NOT APPLY

  150. IN NO EVENT WILL CREATIVE MULTIMEDIA'S LICENSER(S) AND 
  151. THEIR DIRECTORS, OFFICERS, EMPLOYERS OR AGENTS (COLLECTIVELY 
  152. CREATIVE MULTIMEDIA'S LICENSER(S)) BE LIABLE TO YOU FOR ANY 
  153. CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES (INCLUDING 
  154. DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, 
  155. LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF 
  156. THE USE OR INABILITY TO USE THE SOFTWARE EVEN IF CREATIVE 
  157. MULTIMEDIA'S LICENSER HAS BEEN ADVISED OF THE POSSIBILITY 
  158. SUCH DAMAGES.  BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE 
  159. EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR 
  160. INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY 
  161. TO YOU.  Creative Multimedia's Licensers' liability to you for 
  162. actual damages from any cause whatsoever, and regardless of the 
  163. form of action (whether in contract, tort (including negligence), 
  164. product liability or otherwise), will be limited to $50.
